Effective Date: 1 November 2026
1. Acceptance of Terms
By accessing or using VectraRide, including its web dashboards, driver app, passenger app and parent app (“Platform”), you agree to these Terms and Conditions. If you do not agree, you must not use the Platform.
Your continued use constitutes a legally binding agreement under applicable Indian laws.
2. Eligibility
You may use the Platform only if you:
- Have legal capacity to enter into a binding contract, or are a passenger or student registered on the Platform by an authorised client organisation
- Comply with applicable laws and regulations, including motor vehicle and transport regulations where you operate vehicles
- Use the Platform for legitimate business, transport or operational purposes
3. User Responsibilities
All users agree to:
- Provide accurate and up-to-date information, including pickup addresses, contact numbers and vehicle details
- Maintain confidentiality of their credentials
- Use the Platform responsibly and lawfully
In addition, by role:
- Client organisations and transport admins are responsible for the accuracy of routes, rosters, rate cards and passenger data they upload, and for obtaining any consents required from passengers, drivers and parents
- Drivers and vendors must hold valid licences, permits, insurance and vehicle documents, keep GPS devices or the driver app active while on duty, and follow assigned routes and trip instructions
- Passengers and parents must keep booking and pickup details current and use tracking and safety features only for their own or their child’s trips
You are fully accountable for all activities under your account.
4. Account and Security
Account creation requires acceptance of these Terms and the Privacy Policy. Access is role-based, and client organisations control which users can view fleet, trip, billing and passenger data.
VectraRide may suspend or terminate accounts if:
- These Terms are violated
- Fraudulent or suspicious activity is detected, such as falsified trips, GPS tampering or misuse of tracking links
- Required by law or regulatory authorities
5. Permitted and Prohibited Use
You may use the Platform only for its intended transport and fleet management purposes.
You must not:
- Access systems or data without authorisation
- Use live tracking or location data to monitor any person outside their trip or for any unlawful purpose
- Tamper with, spoof or disable GPS devices or location data
- Reverse engineer or tamper with the Platform
- Extract or scrape data without permission
- Introduce malicious code or disrupt services
6. Platform Features and Disclaimers
Live tracking and ETAs. Vehicle locations, routes and arrival times depend on GPS devices, mobile networks and third-party map data. They are provided for guidance and may be delayed or inaccurate.
Route optimisation and auto-allocation. Routes, stop sequences and vehicle or driver allocations are generated by rule-based logic using the data provided. They are assistive and should be reviewed by transport admins, who remain responsible for final dispatch decisions.
Bookings and service requests. Cab, shuttle and other service requests are subject to vehicle and driver availability. Allocated trips may be edited until the time slot expires, as configured by the client organisation.
Customer tracking links. Links sent after allocation show the assigned driver, a call option and the ETA for that trip only. Recipients must not share links publicly; links expire when the trip ends.
Safety features. SOS alerts, geofencing and drop confirmations support passenger safety but do not replace emergency services. In an emergency, contact local authorities directly.
Billing and invoices. Trip charges, employee invoices and vendor payouts are calculated from the rate cards and trip records configured on the Platform. Client organisations must review invoices and raise disputes within the period set in their agreement.
7. Third-Party Services
The Platform integrates with third-party services such as mapping and navigation providers, GPS hardware, telecom, SMS and payment services.
VectraRide:
- Does not control these services
- Is not responsible for their performance, availability or policies
You must review and comply with their terms independently.
8. Intellectual Property
All Platform rights, including software, route and allocation logic, branding and content, are owned by PIT Solutions Limited.
Unauthorised use, copying or distribution is strictly prohibited and may lead to legal action under applicable intellectual property laws in India.
9. Data and Privacy
Personal and location data processed through the Platform is handled as described in the VectraRide Privacy Policy. Client organisations retain ownership of their operational data, including routes, trips, passenger and vendor records.
10. Service Modifications
VectraRide may:
- Modify features or functionality
- Update routing, allocation or tracking behaviour
- Suspend or discontinue services
These changes may occur without prior notice.
11. Limitation of Liability
The Platform is provided on an “as-is” and “as-available” basis. VectraRide is a technology platform and does not itself provide transport services; vehicles are operated by client organisations, drivers and vendors.
To the extent permitted under Indian law:
- No warranties are provided
- VectraRide is not liable for indirect or consequential damages
- VectraRide is not liable for data loss or business interruption
- VectraRide is not liable for delays, missed pickups, accidents or incidents during trips
- VectraRide is not liable for decisions based on tracking, ETA, routing or allocation outputs
12. Governing Agreement
If a separate agreement (such as an MSA) exists between you and PIT Solutions Limited, that agreement will take precedence in case of conflict.
These Terms are governed by the laws of India.
13. Changes to Terms
VectraRide may update these Terms at any time.
Continued use after updates means you accept the revised Terms.
